1. INTRODUCTION

These Terms and Conditions ("Terms") govern your access to and use of IM Connect, including its mobile applications, websites, software, features, content, and related services (collectively, the "Platform" or "Services").

By accessing, downloading, installing, registering for, or using IM Connect, you agree to be legally bound by these Terms.

If you do not agree, you must immediately discontinue use of the Platform.

2. PLATFORM DESCRIPTION

IM Connect is a Professional Networking Super App that integrates multiple digital services into one unified application.

IM Connect enables users to:

• Create and manage professional networking profiles
• Connect, communicate, and collaborate with individuals, creators, and businesses
• Post, share, view, and engage with photos and videos
• Discover and consume movies and digital media content
• Purchase products and services through in-app shopping features
• Access an integrated web-enabled marketplace
• Use AI-powered tools, subscriptions, and digital services
• Access additional features introduced from time to time

IM Connect is a multi-vertical global ecosystem combining professional networking, media, commerce, content, and technology into a seamless experience.

IM Connect does not guarantee that any specific feature will always be available and may modify, suspend, or discontinue features at its sole discretion.

3. GLOBAL OWNERSHIP & INTELLECTUAL PROPERTY

IM Connect is a globally owned and operated digital platform.

All rights, title, and interest in and to the Platform, including but not limited to:

• The IM Connect brand, name, and trademarks
• Software, source code, and platform architecture
• Artificial intelligence systems, algorithms, and models
• User interface designs and experiences
• Content systems, marketplaces, and integrations

are exclusively owned by:

• IM BRANDING Inc., United States
• IM BRANDING Ltd., United Kingdom

(collectively, the "IM Connect Group").

4. OWNERSHIP CLARIFICATION

For absolute clarity:

• IM BRANDING Inc (USA) and IM BRANDING Ltd (UK) own 100% of IM Connect
• No local, regional, or country-specific entity owns or controls IM Connect
• Local entities, where appointed, act only for regulatory or payment compliance
• There is no country-specific fork or separate version of IM Connect
• All users globally access the same IM Connect platform

5. ELIGIBILITY

You represent and warrant that:

• You are at least 18 years of age (or legal age in your jurisdiction)
• You have the legal capacity to enter into a binding agreement
• You will comply with all applicable laws

If using IM Connect on behalf of an organization, you confirm that you are authorized to bind that organization.

6. USER ACCOUNTS

You are solely responsible for:

• All activity conducted through your account
• Maintaining the confidentiality of login credentials
• Any loss resulting from unauthorized access caused by your actions or negligence

IM Connect shall not be liable for losses caused by compromised accounts.

7. PAYMENTS, SUBSCRIPTIONS & COMMERCIAL SERVICES

Certain Services may require payment or subscription.

IM Connect reserves the right to:

• Modify pricing and subscription models
• Introduce paid or premium features
• Limit or discontinue Services

Unless required by law, all payments are non-refundable.

8. INDIA-SPECIFIC TERMS & CROSS-BORDER PAYMENT DISCLOSURE

8.1 Applicability to Indian Users

This section applies to users who access, subscribe to, or use the Platform from India (“Indian Users”).

By using the Platform, Indian Users expressly acknowledge and agree to the terms set forth in this Section.

8.2 Contracting & Revenue Collection Entity

All subscriptions, fees, and revenues generated from Indian Users are contracted with, billed by, and collected by:

IM BRANDING Inc,
a corporation duly incorporated under the laws of the United States of America
(the “Company”).

Indian Users enter into a direct contractual relationship with IM BRANDING Inc.

8.3 Cross-Border Nature of Transactions

Indian Users acknowledge and agree that:

• Subscription payments constitute cross-border transactions
• Payments are made to an entity incorporated outside India
• Such transactions may be subject to applicable Indian foreign exchange, tax, and payment regulations

The Company does not operate a separate India-only version of the Platform.

8.4 Platform Ownership & Control

IM BRANDING Inc:

• Owns and controls the Platform, services, and related intellectual property
• Operates the Platform on a global, unified basis
• Retains sole authority over features, pricing, subscriptions, and service delivery

Access from India does not create any local ownership, partnership, agency, or permanent establishment in India.

8.5 Billing & Payment Disclosure

Invoices, receipts, payment confirmations, and transaction descriptors for Indian Users may reference IM BRANDING Inc (USA) as the billing and revenue-collecting entity.

8.6 Regulatory Acknowledgement

Indian Users confirm that they:

• Understand they are transacting with a US-based company
• Accept that services are provided on a cross-border basis
• Waive any claim that the Platform must be governed by India-only commercial or operational structures, except where mandatorily required by applicable law

8.7 Precedence

In the event of any inconsistency between this Section and other provisions of these Terms, this Section shall prevail with respect to Indian Users.

9. ACCEPTABLE USE

You agree not to:

• Use the Platform for illegal or fraudulent purposes
• Upload unlawful, infringing, or harmful content
• Abuse networking, posting, media, or marketplace features
• Attempt unauthorized access or reverse engineering
• Misrepresent identity or affiliation

Violations may result in immediate suspension or termination.

10. TERMINATION

IM Connect may suspend or terminate your access:

• At its sole discretion
• With or without notice
• For violation of these Terms or applicable laws

No compensation shall be payable upon termination.

11. DISCLAIMERS

The Platform is provided "AS IS" and "AS AVAILABLE."

IM Connect makes no warranties regarding:

• Availability
• Accuracy
• Reliability
• Fitness for a particular purpose

Use of the Platform is at your own risk.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• IM Connect shall not be liable for indirect or consequential damages
• Total liability shall not exceed the amount paid by you in the preceding 12 months

13. DATA & PRIVACY

Use of IM Connect is subject to the applicable Privacy Policy.

Data may be processed and stored across multiple jurisdictions.

14. CHANGES TO TERMS

IM Connect may update these Terms at any time.

Continued use constitutes acceptance of revised Terms.

15. GOVERNING LAW

These Terms shall be governed by applicable laws subject to mandatory statutory requirements, without affecting global ownership or control.
